Party agreement and the legal framework
By agreement, parties submit a defined dispute to a sole arbitrator or a panel. The agreement operates within the applicable law. The legal seat connects the procedure with a national legal system and mechanisms of court assistance and supervision.
The New York Convention of 1958
Its full title is the Convention on the Recognition and Enforcement of Foreign Arbitral Awards. Article II addresses written arbitration agreements; Articles III–V concern recognition, enforcement and refusal grounds. Article I covers awards by arbitrators appointed for individual cases and permanent arbitral bodies. State participation and reservations can be checked with the UN depositary.
The UNCITRAL Model Law
The 1985 Model Law, amended in 2006, is a legislative model. A State using the model adopts its own enactment and version. Similar national laws can therefore differ in arbitrability, procedure and court supervision. The Model Law operates through domestic legislation; a convention binds participating States as a treaty.
Arbitration rules
Rules govern the conduct of an individual proceeding. The UNCITRAL Arbitration Rules, for example, may be agreed for ad hoc or administered arbitration. Agreed procedural rules operate within mandatory requirements of the applicable law.
Two countries in one dispute
Arbitration may have its legal seat in one country while enforcement is sought in another where the debtor has assets. Procedure, setting aside and overseas recognition engage their respective legal frameworks. The substantive law governing the contractual dispute is a separate question.
What the Convention’s provisions do
Statutory basis: Convention Articles I–II. Article I defines scope, including case-specific and permanent arbitration bodies. Article II concerns agreements and referral unless an agreement is null and void, inoperative or incapable of being performed. Check the enforcement country’s participation and reciprocity or commercial reservations in the UN depositary.
Articles III–IV address recognition, local procedure and documents; V contains the Convention refusal grounds; VI concerns adjournment and security during parallel challenges; VII(1) preserves more favourable recognition rights under legislation or treaties. The Convention does not appoint arbitrators or replace the proceeding’s rules.
How the Model Law and Rules become relevant
The UNCITRAL Model Law is used by legislators and does not automatically apply merely because a contract names it. National enactments may differ. Conversely, the UNCITRAL Arbitration Rules become an agreed procedure within mandatory law. Their Article 18 concerns the seat and Article 34(2) binding awards; expedited rules require express agreement.
Case law: Supreme Court 10 November 1997, 34-G97-8 remanded for examination of the contract, rules and Swedish law concerning binding effect. The answer can depend on several legal layers. Continue with the seat, foreign enforcement and review grounds.
Other international rules
Check the European Convention of 1961 separately. Article IX limits annulment as a refusal ground under New York Convention Article V(1)(e) between participating States. Russian restraints on overseas proceedings are covered in the guide to Articles 248.1–248.2.
Electronic agreements and the more favourable regime
The UNCITRAL Recommendation of 7 July 2006 supports a non-exhaustive reading of Article II(2) and access through Article VII(1) to more favourable agreement-recognition rules. It is interpretive guidance, not an amended Convention. The Russian text is also in Part III of the Model Law publication.
In practice, preserve evidence of exchanged assent, the participants and accessible terms, not merely a clause file. Then identify the law of the court where the agreement is invoked. The Recommendation neither creates a non-consenting person’s agreement nor removes arbitrability limits.
