The seat and the hearing venue

The legal home of the arbitration, physical meetings and remote participation.

The legal connection

The seat is a significant legal element of an arbitration. It is relevant to the applicable arbitration law and to court assistance and supervision. The parties may select it subject to the applicable law.

Where people actually meet

A hearing, tribunal deliberation or evidence-related meeting may take place elsewhere where the applicable procedure permits. The hearing room’s address, a representative’s location or participation by video should not automatically be treated as changing the seat.

Distinguish the agreed legal seat, the physical venue of a particular event and the technical means of participation.

Why the distinction matters

Court supervision, procedural rules and later enforcement are relevant when considering a seat. An arbitrator’s nationality, a domain name or a server location does not by itself establish this legal connection.

An international procedure requires examination of the law of the particular country. There is no single arrangement that applies everywhere.

The seat, hearing venue and institution’s address

Statutory basis: Articles 20 and 31(3) of Law 5338-1, Articles 20 and 34 of 382-FZ, and paragraph 15 of Plenum 53. Parties choose the seat or its determination; otherwise the tribunal determines it. Hearings, inspections or deliberations elsewhere do not automatically move the seat. An international award is deemed made at the seat.

Specify the seat separately from hearings elsewhere or remotely. Check the award and procedural orders: the institution’s foreign name, an arbitrator’s nationality or the contract’s governing law do not by themselves determine the seat.

How the seat affects review and enforcement

Case law: paragraph 10 of Higher Commercial Court Letter 96 describes termination of Russian annulment proceedings concerning a Stockholm ad hoc award. Russian substantive law, language and arbitrators did not make it a Russian award. This is historical; current guidance against Russian annulment of foreign awards is paragraph 42 of Plenum 53.

A Russian-seated international commercial award follows the Russian writ procedure. A foreign-seated award requires recognition and enforcement. Particular Russian assistance mechanisms may have a narrower scope. Compare the three enforcement models and court-assisted evidence collection.

Specifying the seat in the clause

“The seat is [city], [country]” expressly identifies the legal seat. Holding a hearing in an office or by video may address a different question. Under the Russian statutes, Article 20 allows the tribunal to determine an unagreed seat; the existence of that fallback is not a reason to leave the choice undiscussed. See the agreement guide for drafting examples.

Seat in other countries: identify legislation and rules first

Armenia (Article 20), Kazakhstan (Article 22) and Moldova’s international regime (Article 20) provide for a tribunal-determined seat absent agreement. Incorporated rules may themselves supply a location or selection mechanism. The institution’s address therefore should not automatically be treated as the legal seat.

Article 26 of Belarus international Law 279-Z separately concerns hearing venues. It should not be read without analysis as a word-for-word equivalent of Model Law Article 20. Compare the models in the country agreement table and their procedure in the country guides.
